These Terms of Service ("Terms") govern your use of the Xenarch platform, API, plugins, smart contracts, and related services ("Services") provided by Xenarch Inc., a company incorporated in the State of Wyoming, United States ("Xenarch", "we", "us").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Xenarch provides non-custodial payment verification infrastructure for AI agent commerce. Specifically, Xenarch:
Xenarch does not hold, custody, control, or transmit any funds or digital assets at any time. Xenarch is not a money transmitter, payment processor, escrow agent, custodian, or financial institution.
All payments are executed directly between the paying party (AI agent or its operator) and the receiving party (publisher) through an immutable, non-upgradeable smart contract deployed on the Base L2 network. Xenarch has no ability to:
Xenarch functions solely as a verification and gating layer — confirming that a valid on-chain payment has occurred before granting content access.

Xenarch charges 0% platform fee on transactions processed through the smart contract. The full payment amount is routed to the publisher's wallet address. Xenarch reserves the right to introduce optional premium features with associated fees in the future, with advance notice.
Users are responsible for any blockchain network (gas) fees incurred during transactions on the Base network.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Xenarch does not warrant that:
To the maximum extent permitted by law, Xenarch Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or digital assets, whether arising from contract, tort, or otherwise, even if advised of the possibility of such damages.
Xenarch's total aggregate liability for any claims arising out of or related to the Services shall not exceed the amount paid by you to Xenarch in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
You acknowledge that the use of blockchain technology and digital assets (including USDC) involves inherent risks, including but not limited to:
Xenarch is not responsible for any losses resulting from these risks.
The Xenarch name, logo, and brand assets are the property of Xenarch Inc. The x402 protocol is an open standard. The Xenarch smart contract is open-source. The pay.json specification is open-source.
We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Laramie County, Wyoming.
We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
